Position Overview Five Below is seeking a Corporate Counsel to serve as a key legal partner across the legal department, providing support and advice in areas including employment, intellectual property, commercial transactions, procurement, securities and governance, employment, real estate, intellectual property, litigation, and risk management/insurance.
Candidates who bring deep expertise in one of these areas and are eager to grow into a broader generalist role are encouraged to apply. You’ll be a member of the Legal team and collaborate with cross‑functional partners, including Finance, HR, Merchandising, Retail Operations, Marketing, Supply Chain, IT, and outside counsel where needed.
The role requires a self-starter who is comfortable operating independently, navigating ambiguity, and owning projects end to end, all while exercising sound judgment, crisp communication, and a practical, business‑forward approach.
Key Responsibilities Advise on multi-state employment compliance for a large hourly retail workforce, including wage and hour, scheduling, leave, pay transparency, and workplace safety; support responses to agency charges, audits, and employment claims, and partner with outside counsel on single-plaintiff and class or collective matters.
Serve as a legal partner to Human Resources on recruiting and hiring practices, policies and handbooks, accommodations, investigations, performance/separations, and employment documents (offers, confidentiality/IP, consulting/contractor agreements).
Draft, review, and negotiate a range of commercial agreements, including procurement, vendor, and sourcing transactions; advise internal clients on contract disputes and other business issues; create and continuously improve standard form agreements, playbooks, templates, and checklists that increase speed and consistency.
Assist with intellectual property matters, including trademark and copyright licensing, protection and enforcement of Five Below's soft IP portfolio (trademarks, copyrights, and trade dress), domain name portfolio management, and counterfeit enforcement on third-party marketplaces. Support IP dispute resolution, including drafting and responding to cease-and-desist letters, DMCA takedowns, and UDRP proceedings.
Assist real estate team, including reviewing and drafting of leases, amendments, construction and services agreements, vendor MSAs/SOWs. Provide legal support for disputes, pre-litigation matters, investigations, ethics and compliance, governance, and other operational matters as needed.
Monitor and synthesize relevant legal and regulatory developments (e.g., SEC, exchange rules, wage/hour, pay transparency, workplace safety), and translate them into practical guidance and training for internal stakeholders. Manage outside counsel efficiently, set clear scopes and budgets, and drive toward timely, high‑quality outcomes. Support other matters based on interest and business need.
Qualifications and Experience Required Qualifications The successful candidate will hold a Juris Doctor (JD) from an accredited law school and be an active member in good standing of at least one U.S. state bar, with the ability to satisfy any in-house registration or licensing requirements applicable in the jurisdiction where the role is based.
The role requires five (5) plus years of relevant legal experience, whether at a law firm, in-house legal department, or a combination of both, with a track record of handling a broad range of legal matters with increasing independence.
Candidates must be comfortable working across multiple practice areas simultaneously, picking up new subject matter quickly, and driving projects to completion with minimal supervision. Preferred Qualifications The following qualifications add meaningful value and will strengthen a candidate’s application, though none is required.
We welcome candidates with deep labor and employment expertise even if they do not bring the full generalist background described below. Prior in-house experience is a plus, as is direct experience supporting retail, consumer products, or other high-volume businesses.
Familiarity with any combination of the following is desirable: commercial contracting and procurement, M&A or corporate transactions, real estate, litigation and disputes, risk management/insurance, or regulatory compliance.
We also value candidates who are comfortable working across multiple practice areas simultaneously, picking up new subject matter quickly, and driving projects to completion with minimal supervision. Ideal candidates bring a demonstrated growth mindset, intellectual curiosity, and the ability to act and react quickly in a fast-paced, rapidly evolving environment where priorities shift and ambiguity is the norm.
Skills and Competencies The ideal candidate combines broad legal knowledge with the judgment to translate complex legal requirements into practical, business-focused guidance. Strong cross-functional collaboration skills are essential, as the role requires building trusted relationships with stakeholders across merchandising, finance, HR, marketing, supply chain, IT, and other business units.
The attorney must bring solid project management capabilities and the ability to independently own and drive workstreams from initiation through completion. Excellent written and verbal communication skills are required to advise leadership, train internal stakeholders, and communicate effectively with outside advisors.
Finally, the role demands a growth mindset, comfort with ambiguity, a high degree of autonomy, and the ability to prioritize and manage competing demands in a fast-paced national retail environment.
